2. Nature of the Platform

ReadyFy is an Infrastructure Technology platform designed to organize and trace regulated processes.

The Platform provides:

traceability of activities
readiness indicators
process monitoring
collaboration between participants in regulated processes

ReadyFy does not replace regulatory authorities, professional licensing bodies, or governmental decision-making entities.

All regulatory approvals, legal determinations, and official authorizations remain the responsibility of the competent authority.

3. Users of the Platform

ReadyFy may be used by individuals and organizations participating in regulated or structured processes, including but not limited to:

property owners
consultants
engineers
lawyers
project managers
developers
institutions responsible for reviewing or approving processes

Users are responsible for ensuring that their use of the Platform complies with applicable laws and regulations.

4. User Accounts

Users may create accounts to access the Platform.

Account holders are responsible for:

maintaining the confidentiality of their credentials
ensuring that information entered into the system is accurate
supervising access to their account when shared within an organization

Users may invite collaborators to participate in processes through the Platform.

5. Process Documentation

Users may upload documents, attachments, reports, images, and other materials as part of a regulated process.

ReadyFy may verify that required documents have been uploaded according to the structure of a process workflow.

However:

ReadyFy does not approve technical designs
ReadyFy does not validate engineering calculations
ReadyFy does not replace regulatory review

The technical validity, legality, and regulatory compliance of uploaded documents remain the responsibility of the document authors and the competent reviewing authority.

6. Responsibility for Submitted Information

Each user uploading information to the Platform is responsible for the accuracy and legality of the information submitted.

ReadyFy is not responsible for:

false information entered by users
fraudulent submissions
misrepresentation of professional credentials
regulatory violations committed by users

Fraudulent or unlawful conduct may be subject to investigation and enforcement by the relevant governmental authorities.

7. Development Readiness Indicators (DRI / LDR)

ReadyFy provides readiness indicators including:

Development Readiness Index (DRI)
Land Development Readiness (LDR)

These indicators measure the level of preparation of a process based on the completion of predefined workflow requirements.

The indicators may be displayed in the Platform as a process progress summary generated through automated analysis.

8. Certification of Readiness

Upon request, ReadyFy may issue a readiness certification.

This certification is issued only after:

review of the documentation uploaded to the Platform
verification of workflow completion
review by a qualified human reviewer designated by ReadyFy

The reviewer may issue a professional opinion regarding the readiness status of the process according to ReadyFy’s internal standards.

This certification reflects the state of the process at the time of issuance.

It does not constitute regulatory approval.

9. Ownership of Documents

Users retain ownership of all documents they upload to the Platform.

By uploading documents, users grant ReadyFy a limited license to:

store
process
organize
analyze
display the documents within the Platform

This license exists solely for the purpose of operating the Platform.

10. Public Access Links

ReadyFy allows certain process information to be shared through controlled public access links.

The user who generates the link is responsible for:

determining who receives access
managing the distribution of the link
revoking access when necessary

ReadyFy is not responsible for unauthorized sharing of links by users.

11. Traceability and Activity Records

ReadyFy maintains system logs and activity records including:

user access records
activity updates
document uploads
workflow changes
timestamps of actions

These records provide traceability of the evolution of a process and may be used as evidence of activity within the Platform.

12. Fees and Payment Structure

ReadyFy may charge fees for access to the Platform depending on the type of user or service provided.

user subscriptions
project-based fees
institutional platform access
technology service fees associated with regulatory processes

All fees and pricing structures will be communicated within the Platform or through official ReadyFy documentation.

13. Suspension of Accounts

ReadyFy reserves the right to suspend or terminate accounts if users:

14. Limitation of Liability

ReadyFy provides digital infrastructure and workflow standards.

ReadyFy does not produce regulatory documents and does not guarantee regulatory outcomes.

The approval or rejection of a process remains entirely under the authority of the relevant governmental or institutional body.

ReadyFy shall not be liable for:

regulatory decisions
project delays
financial losses resulting from regulatory outcomes
reliance on readiness indicators for investment decisions

15. Compliance with Laws

Users must comply with all applicable laws and regulations in the jurisdictions where their processes occur.

This includes compliance with laws governing:

regulatory submissions
professional practice
fraud prevention
data protection

16. International Use

ReadyFy may be used internationally.

Users are responsible for ensuring compliance with the laws and regulatory requirements applicable in their jurisdiction.

17. Language

These Terms are written in English.

If translations are provided, the English version shall prevail in the event of any conflict or interpretation.

18. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States.

19. Changes to the Terms

ReadyFy may update these Terms periodically.

Updated versions will be posted on the Platform with the revised date.

Continued use of the Platform constitutes acceptance of the updated Terms.

21. Regulatory Neutrality Clause

ReadyFy operates as a digital infrastructure platform designed to structure, organize, and trace regulated processes. The Platform provides standardized workflow frameworks, document management, and readiness indicators to assist participants in preparing processes prior to submission to regulatory or institutional authorities.

ReadyFy does not act as a governmental authority, licensing body, regulatory agency, or decision-making institution. The Platform does not approve, reject, authorize, certify, or legally validate any regulatory submission.

All regulatory determinations, approvals, and official certifications remain the exclusive responsibility of the competent public authority or legally authorized institution.

ReadyFy may coordinate with public entities, industry participants, or professional groups to design standardized process structures that are incorporated into ReadyFy’s public workflow libraries. These libraries are intended to reflect common procedural requirements and to facilitate the organization of documentation and activities typically associated with regulated processes.

However, regulatory procedures may vary depending on the specific circumstances of each case. Public authorities may require additional documentation, studies, certifications, or procedural steps beyond those included in ReadyFy’s standard libraries.

For example, certain projects may require specialized technical certifications, environmental studies, or elevation documentation depending on the characteristics of the property or jurisdiction, while other projects may not require such documentation.

The existence of a standardized workflow within ReadyFy does not guarantee that all regulatory requirements applicable to a specific case have been satisfied.

Users remain responsible for:

complying with all applicable laws and regulations
confirming regulatory requirements with the competent authority
submitting complete and accurate documentation
ensuring that professional reports and certifications are prepared by qualified professionals when required

ReadyFy provides organizational infrastructure and readiness indicators, but regulatory compliance, professional certification, and final approval remain under the jurisdiction of the appropriate governmental or institutional authority.

22. Professional Responsibility Clause

ReadyFy provides a digital infrastructure platform designed to facilitate coordination, documentation management, and traceability among participants involved in regulated or structured processes.

The Platform enables collaboration between multiple actors, including property owners, consultants, engineers, lawyers, project managers, and reviewing institutions. Through its workflow structures, ReadyFy allows users to organize activities, assign responsibilities, and track the progress of a process.

However, ReadyFy does not recruit, appoint, or employ the professionals responsible for carrying out the activities within a process.

The selection, hiring, and contractual relationship with any professional participating in a process is the sole responsibility of the process owner, project manager, or the parties involved in the project.

ReadyFy does not supervise, direct, or control the professional services provided by users of the Platform.

Each professional or participant is solely responsible for:

the technical accuracy of their work
the legality of the information provided
compliance with applicable professional standards
compliance with regulatory requirements applicable to their profession or jurisdiction

ReadyFy does not provide engineering, legal, architectural, surveying, or consulting services through the Platform.

The Platform serves as a communication, coordination, and documentation infrastructure that allows interdisciplinary teams to manage processes in a structured and traceable environment.

Accordingly, ReadyFy shall not be liable for:

the quality of professional services provided by users
technical errors in reports, designs, or studies uploaded to the Platform
omissions in documentation prepared by project participants
contractual disputes between participants in a process

Users are responsible for ensuring that all professional services associated with their projects are performed by qualified and duly authorized professionals in accordance with applicable laws and regulations.

23. Traceability and Evidentiary Records Clause

ReadyFy maintains a structured system of activity records and traceability logs within the Platform in order to document the evolution of processes managed through the system.

These records may include, among other elements:

user access logs
timestamps of actions performed within the Platform
activity status updates
document uploads and version history
comments and communications associated with activities
workflow changes and task assignments

The purpose of these records is to maintain a transparent and chronological traceability of the actions performed by participants within a process.

These records form part of the operational history of a project within the Platform and may be used by the participants of the process to understand:

the sequence of activities performed
the timing of actions within the workflow
the responsibilities assigned to each participant
the evolution and progress of the process

ReadyFy does not determine legal liability between participants in a process. However, the activity logs and traceability records generated by the Platform may serve as informational or evidentiary records regarding the use of the system and the actions performed by its users.

Each user acknowledges that actions performed within the Platform may be recorded and associated with their account through system-generated timestamps and logs.

Users are responsible for ensuring that the information they upload or actions they perform within the Platform accurately reflect their participation in the process.

ReadyFy reserves the right to retain traceability records and system logs for operational, security, compliance, and auditing purposes for the period necessary to maintain the integrity of the Platform and its services.

24. AI Assistance and Automated Analysis Clause

ReadyFy may incorporate automated technologies, including artificial intelligence and machine-assisted analysis, to assist in the organization, interpretation, and presentation of information contained within regulated processes managed through the Platform.

These automated systems may be used to:

analyze the documentation uploaded to a process
generate structured summaries of process progress
produce executive summaries of the current status of a process
generate detailed reports regarding the activities completed within a workflow
display readiness indicators such as the Development Readiness Index (DRI) or Land Development Readiness (LDR)

The automated outputs generated by the Platform are intended to assist users in understanding the organizational status and documented progress of a process.

However, these automated analyses do not constitute regulatory determinations, professional certifications, engineering validation, legal opinions, or compliance approvals.

The accuracy, legality, and technical quality of the documents uploaded to the Platform remain the responsibility of the participants in the process, including but not limited to:

the process owner
the project manager
consultants and professionals responsible for preparing the documentation
external auditors engaged by the project participants

ReadyFy does not verify whether uploaded documents comply with applicable laws, professional standards, technical codes, or regulatory requirements. Such determinations remain under the authority of the relevant regulatory or professional institutions responsible for reviewing and approving the process.

ReadyFy is not responsible for:

fraudulent information uploaded by users
inaccurate reports prepared by consultants
professional malpractice
non-compliance with applicable laws or regulations
the use of falsified or misleading documentation within a process

The review and enforcement of regulatory compliance remain the responsibility of the competent regulatory authority and the applicable governmental institutions.

25. Human Review and Certification

ReadyFy may offer optional services involving human review of the process documentation.

When such service is requested, a qualified reviewer designated by ReadyFy may analyze the information available within the Platform in order to:

verify the coherence between the documented activities and the uploaded materials
review the consistency of the process workflow
prepare structured reports regarding the status of the process

Based on this review, ReadyFy may issue documents such as:

an Executive Progress Summary
a Detailed Process Status Report
a Development Readiness Certification (DRI / LDR)

Any certification issued by ReadyFy reflects the documented status of the process at the time of review according to the workflow standards established within the Platform.

Such certification does not constitute:

regulatory approval
legal authorization to proceed with a project
confirmation of compliance with applicable laws or codes

Final approval or rejection of any regulated process remains exclusively under the jurisdiction of the competent regulatory authority.
